These Terms of Service ("Terms") are a binding agreement between you and BoardMason ("BoardMason", "we", "us", or "our") and govern your access to and use of our website and services (the "Service"). By creating an account or using the Service, you agree to these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization.
1. The Service
BoardMason is a hosted dashboard builder: connect a data source, arrange widgets on a grid, and share a live, read-only link, offered as a subscription software-as-a-service (SaaS). Features, plans, and limits may change as we improve the Service. We may add, modify, or remove features, provided we do not materially reduce the core functionality of a paid plan during a paid term.
2. Eligibility and accounts
You must be at least 16 years old and able to form a binding contract to use the Service. You are responsible for the accuracy of your account information, for keeping your credentials secure, and for all activity under your account. Notify us promptly of any unauthorized use at contact@boardmason.com.
3. Subscriptions, billing, and payment
- Plans. Paid features are offered on a subscription basis billed monthly or annually, as shown on our Pricing page.
- Payment. Payments are processed by our third-party processor, Stripe. By subscribing, you authorize us and Stripe to charge your payment method for the applicable fees, including recurring charges.
- Automatic renewal. Subscriptions renew automatically at the end of each billing period at the then-current rate unless you cancel before the renewal date.
- Taxes. Fees are exclusive of taxes. You are responsible for any applicable sales, use, VAT, GST, or similar taxes, which we may add where required.
- Price changes. We may change prices. We will give you reasonable advance notice, and changes take effect on your next billing period.
- Failed payments. If a charge fails, we may retry and may suspend or downgrade paid features until payment succeeds.
4. Free plan and trials
We may offer a free plan or trial. We may change or discontinue free offerings at any time. Trial features convert to a paid subscription only if you choose to subscribe.
5. Cancellation and refunds
You may cancel at any time, and refunds are handled as described in our Refunds & Cancellation Policy, which forms part of these Terms.
6. Acceptable use
Your use of the Service must comply with our Acceptable Use Policy. We may suspend or terminate accounts that violate it.
7. Your content and Customer Data
You retain all rights to the dashboards, configurations, and data you create or connect ("Customer Data"). You grant us a limited, worldwide, non-exclusive license to host, process, and display Customer Data solely to operate and provide the Service to you and the people you share with. You are responsible for your Customer Data, including having the rights and permissions needed to connect and use it, and for what you choose to make publicly accessible (for example, via a public read-only link).
8. Intellectual property
The Service, including its software, design, branding, and content (excluding Customer Data), is owned by BoardMason or its licensors and is protected by intellectual property laws. We grant you a limited, revocable, non-transferable right to use the Service under these Terms. You may not copy, modify, reverse engineer, resell, or create derivative works from the Service except as permitted by law.
9. Third-party services and data sources
The Service lets you connect third-party data sources and may rely on third-party providers. We are not responsible for third-party services, their availability, or their content, and your use of them may be subject to their own terms.
10. Privacy
Our Privacy Policy explains how we handle personal information and is incorporated into these Terms.
11. Disclaimers
The Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that it will meet your requirements. Some jurisdictions do not allow certain disclaimers, so some may not apply to you.
12. Limitation of liability
To the maximum extent permitted by law, BoardMason and its suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or related to the Service. Our total liability for any claim arising out of or related to the Service will not exceed the greater of the amounts you paid us in the twelve months before the event giving rise to the claim, or USD 100. These limits apply even if a remedy fails of its essential purpose.
13. Indemnification
You will indemnify and hold harmless BoardMason and its officers, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from your Customer Data, your use of the Service, or your violation of these Terms or applicable law.
14. Suspension and termination
You may stop using the Service and close your account at any time. We may suspend or terminate your access if you breach these Terms, if required by law, or to protect the Service or other users. Upon termination, your right to use the Service ends. Sections that by their nature should survive termination (for example, ownership, disclaimers, limitation of liability, and indemnification) will survive.
15. Changes to these Terms
We may update these Terms from time to time. We will post the updated version here with a new "Last updated" date and, for material changes, provide additional notice. Your continued use of the Service after changes take effect means you accept the updated Terms.
16. Governing law and disputes
These Terms are governed by the applicable laws of the jurisdiction in which BoardMason operates, without regard to conflict-of-laws rules. You and BoardMason agree to the exclusive jurisdiction of the competent courts there, except where applicable law gives you the right to bring proceedings in your local courts.
17. General
- Entire agreement. These Terms and the policies referenced in them are the entire agreement between you and us regarding the Service.
- Severability. If any provision is unenforceable, the rest remains in effect.
- No waiver. Our failure to enforce a provision is not a waiver of it.
- Assignment. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
- Force majeure. We are not liable for delays or failures caused by events beyond our reasonable control.
- Notices. We may provide notices by email or by posting on the Service.
